《账号绑定及用户授权协议》（以下简称“本协议”）是AliPrice平台经营者、1688平台经营者与用户（以下简称“您”）所订立的有效合约。
This Agreement on Account Linking and User Authorization (this “Agreement”) is a valid contract entered into by and among the AliPrice Platform Operator (as defined below), the 1688 Platform Operators (as defined below) and each user (“you” or “your”).

[Read Carefully]This webpage is intended for your registration of a AliPrice Platform Account (as defined below) and a 1688 Platform Account (as defined below), your linking of these two accounts, and your authorization of certain data sharing between such accounts. Before giving the authorization, please read carefully all the contents hereof (especially those marked in bold and/or underlined). If you disagree with any content or cannot accurately understand any provision of this Agreement, please do not proceed with the authorization or any further operation.

[Contract Signing] By confirming your agreement to this Agreement online, you will be deemed to have agreed to all the provisions of this Agreement and all subsequent updates of such provisions.
一、定义
I. Definition
1、AliPrice平台经营者：东莞市橙派网络科技有限公司，Dongguan Chengpai Network Technology Co., Ltd.
“AliPrice Platform Operator”shall mean Dongguan Chengpai Network Technology Co., Ltd.
2、1688平台经营者：杭州阿里巴巴广告有限公司、阿里巴巴（中国）网络技术有限公司
“1688 Platform Operators” shall mean Hangzhou Alibaba Advertising Co., Ltd. and Alibaba (China) Network Technology Co., Ltd.
3、AliPrice平台：AliPrice平台经营者主办运营的面向全球买家和卖家的自营电子商务SAAS软件平台（域名为https://www.aliprice.com/ 的网址）及客户端。
AliPrice Platform”shall mean a SaaS software platform for cross-border e-commerce operated by the AliPrice Platform Operator itself for global buyers and sellers (with the domain name of https://www.aliprice.com/ and its applications.
4、1688平台：指1688平台经营者主办运营的面向中国境内的企业间贸易(B-TO-B)的在线信息发布及交易平台（域名为www.1688.com或1688平台经营者指定的其他同类功能的网址，下同）及客户端。
“1688 Platform” shall mean an online product listing and transaction platform operated by the 1688 Platform Operators for B2B transactions in China (with the domain name of www.1688.com or such other domain name as designated by the 1688 Platform Operators with similar functions; the same below) and its application.
5、AliPrice平台账号：指您接受AliPrice平台相关协议取得的AliPrice平台账号或用户标识。
“AliPrice Platform Account”shall mean the account of the AliPrice Platform or user identifier obtained by you in accordance with the Regulations for Use of AliPrice.
6、1688平台账号：指您按照《1688平台服务条款》取得的1688平台账号或用户标识，1688平台账号的功能以1688平台经营者的公告为准。
“1688 Platform Account” shall mean the account of the 1688 Platform or user identifier obtained by you inaccordance with the 1688 Platform Service Terms , with its functions subject to the announcement of the 1688 Platform Operators.
二、适用场景
II. Application
本协议适用于以下场景：您注册AliPrice平台账号、1688平台账号，并将您的AliPrice平台账号与您的1688平台账号进行绑定、信息共享、解除绑定等事宜。本协议构成您、AliPrice平台经营者与1688平台经营者之间具有法律效力的协议。
This Agreement shall be applicable if: you register a AliPrice Platform Account and/or a 1688 Platform Account , and proceed with operations in respect of the two accounts, such as the linking thereof, the information sharing therebetween and the cancellation of the linking thereof. This Agreement shall constitute a legally binding agreement among you, the AliPrice Platform Operator and the 1688 Platform Operators.
三、账号绑定及功能
III. Account Linking and Functions
1、您可以通过AliPrice平台注册AliPrice平台账号以及通过1688平台注册生成1688平台账号，并对AliPrice平台账号和1688平台账号进行绑定。
You can register an AliPrice Platform Account through the AliPrice Platform and register through the 1688 Platform to generate a 1688 Platform Account, and bind the AliPrice Platform Account and the 1688 Platform Account.
2、在您成功地将您的AliPrice平台账号与1688平台账号绑定后，我们可能将帮您实现以下功能，但相关功能具体的上线时间以及具体可实现的功能以AliPrice平台经营者届时在AliPrice平台的公告和/或1688平台经营者届时在1688平台的公告为准：
After you successfully link your AliPrice Platform Account and 1688 Platform Account, the following functions may be available to you, subject to such specific availability and functions as then announced by the AliPrice Platform Operator on the AliPrice Platform and/or by the 1688 Platform Operators on the 1688 Platform:
(1) 快速登录：即在AliPrice平台账号登录状态下，您可以使用已登录的AliPrice平台账号直接登录所绑定的1688平台账号或免登跳转到1688平台，反之亦相同。
Quick login: After your login to your AliPrice Platform Account, you may directly log in to the 1688 Platform Account linked to it, or be redirected to the 1688 Platform without separate login, and vice versa;
(2) 其他您选择使用的功能及后续为提升您的服务体验而升级的其他功能。
Any other functions that you opt for, as may be further upgraded for your better service experience.
请您理解并注意,您的1688平台账号可能因为技术限制、系统稳定性等原因存在不能登录1688平台的情况，1688平台经营者会一直致力于改进和优化您的用户体验。
Please understand and note that your 1688 platform account may not be able to login to 1688 Platform due to technical limitations, system stability and other reasons, 1688 Platform Operators will always be committed to improving and optimizing your user experience.
四、共享信息及授权
IV. Information Sharing and Authorization
1688平台经营者与AliPrice平台经营者将进行共同合作建设，为了向您提供来自于1688平台货源的商品服务以及更加便捷的采购体验，您同意以下信息共享及授权：
The 1688 Platform Operators and the AliPrice Platform Operators will jointly build. In order to provide you with goods from 1688 Platform and more convenient procurement experience, you agree to the following information sharing and authorization:
1、根据本协议，为进⾏两个账号的信息匹配、身份验证，确保账号匹配安全，在您的AliPrice平台账号与1688平台账号完成绑定时，您同意AliPrice平台经营者将您的AliPrice平台账号的会员ID与⼿机号码和/或邮箱地址、AliPrice账号中设置的昵称、头像共享给1688平台经营者。
For information matching and identity verification between accounts to ensure secure account linking under this Agreement, upon the linking of your AliPrice Platform Account and 1688 Platform Account, you agree that the AliPrice Platform Operator will share with the 1688 Platform Operators the member ID, mobile number and/or email address, nickname and profile picture associated with your AliPrice Platform Account.
2、 在您的AliPrice平台账号与1688平台账号绑定后，您同意：
Upon the linking of your AliPrice Platform Account and 1688 Platform Account, you agree that:
为更好地为您提供搜索、推荐等服务，AliPrice平台经营者会与1688平台经营者共享您AliPrice平台账号的相关信息（您的AliPrice平台账号ID、AliPrice平台账号中设置的昵称）、您在AliPrice平台的行为数据（点击、浏览、加购）以及账号绑定页面中可能显示的其他信息。
to provide you with better search and recommendation services, the AliPrice Platform Operator will share with the 1688 Platform Operators information related to your AliPrice Platform Account (the ID and nickname ), your behavioral data (clicking, browsing and adding item to cart) on the AliPrice Platform , and other information as may be shown on the account linking webpage.
五、未成年人：您确认并保证您的年龄不小于18周岁（或者虽小于18周岁但已经征得您父母或法定监护人的同意），并且完全有能力理解、签署并遵守本绑定协议。
V. Minors: You confirm and warrant that you are at least 18 years old (or have obtained your parent’s or legalguardian’s consent if you are under the age of 18), and are fully capable of understanding, signing and complying with this Agreement.
六、解除绑定及授权
VI. Cancellation of Account Linking and Authorization
1、在AliPrice平台经营者与1688平台经营者解除合作后(具体以AliPrice平台经营者和/或1688平台经营者届时的公告为准)，您可以在AliPrice平台上的相关页面，根据页面上显示的操作指引将您的AliPrice平台账号与1688平台账号解除绑定。
If the relevant cooperation between the AliPrice Platform Operator and the 1688 Platform Operators is terminated (as then announced by the AliPrice Platform Operator and/or the 1688 Platform Operators), you may cancel the linking of your AliPrice Platform Account and 1688 Platform Account on the relevant webpage of the AliPrice Platform in accordance with the instructions thereon.
2、当已实现相互绑定的AliPrice平台账号及/或1688平台账号终止或被注销时，已实现相互绑定的AliPrice平台账号与1688平台账号将自动解除绑定。
If the linked AliPrice Platform Account and/or 1688 Platform Account are/is closed or canceled, the account linking will be canceled automatically.
3、您知晓并确认：若您注销了1688平台账号但并未注销AliPrice平台账号，基于您在AliPrice平台上的账号绑定，本授权书中的信息仍会由AliPrice平台经营者提供给1688。
You acknowledge and confirm that if you cancel your 1688 Platform Account but do not cancel your AliPrice Platform Account, your information herein will continue to be provided to 1688 by AliPrice Platform Operator on the basis of the account link.
4、您同意AliPrice平台经营者及/或1688平台经营者亦有权在以下情况下将您AliPrice平台账号与对应的1688平台账号解除绑定或者采取其他限制措施：
You agree that the AliPrice Platform Operator and/or the 1688 Platform Operators shall have the right to cancel the linking of your AliPrice Platform Account and the corresponding 1688 Platform Account or take other restrictive measures, if:
(1) 当您不遵守AliPrice平台基础条款及/或1688平台基础条款的规定；
you fail to comply with the basic terms of the AliPrice Platform and/or the 1688 Platform;
(2) 出于维护国家安全、国防安全、公共安全、公共卫生、重大公共利益有关的目的；
it is related to national security, national defense security, public security, public health or major public interests;
(3) 根据适用的法律、法规的要求，或者为了协助有关行政机关、司法机关的调查、司法程序，或者配合有关行政机关、司法机关的强制性要求；
it is required by applicable laws or regulations, or to assist any administrative or judicial authority in any investigation or proceeding, or to comply with the mandatory requirement of any administrative or judicial authority;
(4) 为了保护您或他人的生命、财产等重大合法权益，情形紧急的；
it is necessary for protecting your or others’ life, property or other material legitimate rights or interests in urgent circumstances;
(5) 在适用的法律、法规允许的范围内，为了维护AliPrice平台经营者及/或1688平台经营者的合法权益，以及/或为了确保您的AliPrice平台账号和/或1688平台账号的安全；
it is to protect the legitimate rights and interests of the AliPrice Platform Operator and/or the 1688 Platform Operators, and/or to ensure the security of your AliPrice Platform Account and/or 1688 Platform Account, to the extent permitted by applicable laws and regulations; or
(6) 法律、法规规定的其他情形。
it is otherwise required by laws or regulations.
5、自您的AliPrice平台账号与您的1688平台账号解除绑定之时起，AliPrice平台经营者与1688平台经营者不会再按照本绑定协议的规定共享信息。
Upon cancellation of the linking of your AliPrice Platform Account and 1688 Platform Account, the AliPrice Platform Operator and the 1688 Platform Operators will cease the information sharing under this Agreement.
七、安全提示
VII. Security Reminder
网络欺诈往往会模仿、仿冒本登录页面的样式制作视觉感相似的页面引诱用户输入账号和密码等信息，AliPrice平台经营者和1688平台经营者在此提醒您防范网络风险，不要向非AliPrice平台、非1688平台或任何人士透露您的AliPrice平台账号、1688平台账号的名称、密码等相关信息，不要向非1688平台或任何人士透露您的1688平台账号的名称、密码等相关信息。
Internet frauds often use visually similar webpages that imitate or copy the original login webpage to trick users into entering their account number, password or other information. You are hereby advised by the AliPrice Platform Operator and the 1688 Platform Operators to be aware of risks associated with the Internet, and not to share the account name, password or other information of your AliPrice Platform Account or 1688 Platform Account with any person other than the AliPrice Platform and the 1688 Platform, and not to share the account name, password or other information of your 1688 Platform Account with any person other than the 1688 Platform.
八、协议变更
VIII. Amendment to Agreement
您同意，AliPrice平台经营者、1688平台经营可不时修订本协议，并将协议变更情况在AliPrice平台和/或1688平台的网站和/或客户端上进行公示，该等变更自公告载明的生效时间开始生效，并成为本协议的一部分。若在公告后的协议载明的生效日期当日或之后，您使用了您的已与1688平台账号绑定的AliPrice平台账号及/或已与AliPrice平台账号绑定的1688平台账号，即表示您同意且接受修订后的本协议。
You agree that the AliPrice Platform Operator and the 1688 Platform Operators may make amendments to this Agreement from time to time, and make announcements in respect of such amendments on the website(s) and/or application(s) of the AliPrice Platform and/or the 1688 Platform. As from the effective date specified in the relevant announcement, such amendment will take effect and become part of this Agreement. By using your AliPrice Platform Account linked to your 1688 Platform Account and/or your 1688 Platform Account linked to your AliPrice Platform Account on or after such effective date, you shall be deemed to have agreed to and accepted the Agreement as amended.
九、争议解决
IX. Dispute Resolution
本协议适用中华人民共和国法律（不含港澳台地区的法律）。凡因本协议引起的及任何与之有关的争议，首先应由该等争议的相关当事方通过友好协商解决，如果无法友好协商解决的，任何一方均可向阿里巴巴（中国）网络技术有限公司所在地的人民法院提起诉讼。
This Agreement shall be governed by the laws of the People’s Republic of China (excluding the laws of HongKong, Macao and Taiwan). Any dispute arising from or in connection with this Agreement shall first be resolved by the parties thereto through friendly consultations. If such consultations fail, either party may bring a litigation before the people’s court at the place where Alibaba (China) Network Technology Co., Ltd. is located.
十、其他
X. Other Matters
1、本协议未尽事宜，参照《1688平台服务条款》、《1688平台隐私政策》、AliPrice平台相关条款和协议执行；与本协议有冲突的，以本协议为准。
Any matter not covered herein shall be handled with reference to the 1688 Platform Service Terms , the 1688 Platform Privacy Policy and the terms and policy for use of AliPrice Platform. In case of any conflict between these policies and this Agreement, this Agreement shall prevail.
2、本协议中、英文不一致的，以中文为准。
In case of any inconsistency between the Chinese and English versions of this Agreement, the Chinese version shall prevail.
